These Terms of Use and Conditions (“Terms”) govern your access to and use of our AI-based research and analytics platform, website, and related services (collectively, the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms.

If you do not agree, you may not use the Platform.

1. About the Platform

The Platform provides AI-driven insights and analytical tools designed for professionals in energy and commodity markets.

It is intended for informational and research purposes only and not for financial or investment decision-making.

All information or content generated by the Platform is produced by automated AI systems and may include inaccuracies or incomplete data.

You agree that:

• Outputs are not trading or investment advice;
• You are solely responsible for any use or interpretation of outputs;
• Comdty.AI has no responsibility for actions taken based on AI-generated content.

2. Eligibility and Account Use

You must be of legal age and capacity to enter into binding contracts under your jurisdiction.

When creating an account, you agree to:

• Provide accurate and complete information;
• Maintain the confidentiality of your login credentials;
• Not share your account with other individuals or entities;
• Notify us promptly of any unauthorized access or suspected security breaches.

Each account is for one named individual only. Shared or pooled access is prohibited.

3. Authorized and Prohibited Uses

You may use the Platform solely for:

• Internal research and analytical purposes;
• Lawful business activities related to market or energy research.

You may not:

• Use the Platform for illegal, unethical, or manipulative trading activity;
• Attempt to copy, reverse-engineer, or exploit the underlying software or models;
• Reproduce, distribute, or resell content from the Platform without permission;
• Misrepresent AI-generated information as factual or verified.

4. AI-Generated Content Disclaimer

Comdty.AI provides information generated by machine learning systems that analyze data from a variety of sources.
All such content is provided “as is”, without warranty or guarantee.
We make no representation regarding accuracy, completeness, or suitability for any purpose.
You acknowledge that reliance on any Platform output is entirely at your own risk.

5. Data and Privacy

We collect and process user information as described in our Privacy Policy

In summary:

• All data in transit and storage is encrypted;
• Uploaded files and data are securely stored;
• We have zero data retention agreements with model providers to ensure that your information is not used for AI training or retained by external systems.

We retain only the data necessary for operational, compliance, and improvement purposes.

6. Intellectual Property

All intellectual property rights in the Platform, including software, content, and AI models, are owned or licensed by Comdty.AI.

You receive a limited, non-exclusive, non-transferable license to use the Platform solely for authorized purposes.

You retain ownership of your own inputs but grant Comdty.AI a limited license to process them for providing and maintaining the Platform.

7. Payment and Subscriptions

Access to certain Platform features may require a subscription or license.

By purchasing a subscription, you agree to:

• Pay all applicable fees;
• Permit recurring billing (if applicable);
• Understand that fees are non-refundable, except where required by law.

8. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is provided “as is” without warranties of any kind;

• Comdty.AI disclaims all implied warranties, including merchantability, fitness for purpose, and accuracy;

• Comdty.AI shall not be liable for any indirect, incidental, consequential, or special damages, including trading losses, data loss, or profit loss, arising from use of the Platform.

If any liability is found, it is limited to the total amount paid by you in the six (6) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Comdty.AI, its affiliates, officers, employees, and contractors from any claims, losses, or expenses (including legal fees) arising from:

• Your misuse of the Platform;
• Violation of these Terms; or
• Infringement of any third-party rights.

10. Termination

We may suspend or terminate access at any time without notice if:

• You violate these Terms;
• We believe your use poses risk to the Platform or other users; or
• Required by applicable law.

Upon termination, your right to use the Platform ends immediately.Sections 4–10 survive termination.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Alberta, Canada, and the federal laws of Canada applicable therein.

Any dispute shall be resolved through binding arbitration conducted in Calgary, Alberta, under the Arbitration Act (Alberta).

Proceedings will be conducted in English.

12. Changes to These Terms

We may modify these Terms periodically.

Updates become effective when posted on the Platform.

Your continued use constitutes acceptance of the updated Terms.
